Terms of Service

These Terms of Service ("Terms") govern your use of tha-shed.com and its apps and tools (together, "Tha Shed"), operated by COSProfessionals, LLC, a Texas limited liability company ("Tha Shed", "we", "us", or "our"). By creating an account, buying a membership, using any Tha Shed tool, calling our business line, or browsing the site, you agree to these Terms. If you do not agree, please do not use Tha Shed.

1. What Tha Shed is

Tha Shed is an online creator studio and learning community. Members use AI-assisted tools to make videos, images, comics, storybooks, music and other content, take courses and lessons, and share their work in the community. Features available to you depend on your membership plan, as shown on our Membership page.

2. Eligibility and accounts

You must be at least 16 years old, or the age of majority where you live if that is higher, to create an account.
Give accurate information and keep it up to date.
Keep your password secure. You are responsible for activity on your account.
One person per account. Do not share or sell your login.

3. Memberships, Studio tokens and payments

Paid memberships renew automatically every month or year, depending on the plan you choose, until you cancel.
Each plan includes the features and monthly allowances (such as Studio tokens, productions or image generations) shown on the Membership page when you subscribe. The free Community plan has smaller allowances and does not include some tools. We may change plans, prices or allowances for future billing periods. Price changes apply at your next renewal after we give you notice.
Payments are processed by third-party payment processors (such as Stripe and PayPal). We do not store full card numbers.
Cancellations and refunds are covered by our Refund and Cancellation Policy, which is part of these Terms.

4. Your content and AI-generated output

You own what you make. As between you and Tha Shed, you keep ownership of the prompts, uploads and finished works you create with Tha Shed tools ("Your Content"), to the extent the law allows ownership of AI-generated material. Output from some AI models is also subject to the model provider's terms.
License to us. You give us a non-exclusive, worldwide, royalty-free license to host, store, process, display and send Your Content as needed to run Tha Shed. That includes passing your prompts and uploads to the AI providers that generate your results. If you post Your Content in the community or showcase, the license also covers displaying it there until you remove it.
Similar results. AI tools can produce similar output for different users. We do not guarantee that any output is unique, accurate or fit for a particular purpose.
Your responsibility. You are responsible for Your Content and for making sure you have the rights to anything you upload, such as photos, voices, music and likenesses.

5. Acceptable use

You agree not to use Tha Shed to:

create or share sexual content involving minors, or any content that sexualizes a real person without their consent;
create deepfakes or impersonations of real people intended to deceive, harass or defame;
infringe copyright, trademarks or other rights, including uploading material you do not have permission to use;
harass, threaten or discriminate against others, or post hateful or violent content;
create malware or spam, or try to get around usage limits, security features or content filters;
scrape, resell or automate access to Tha Shed tools without written permission;
break any law.

We may remove content and suspend or close accounts that break these rules. Where required, we report illegal content to the authorities.

6. Courses and instructors

Course materials, lessons and site content belong to Tha Shed or to the instructors who created them. You may use them for your own learning, but you may not copy, redistribute or resell them. Instructors who publish courses on Tha Shed do so under a separate instructor agreement that sets out revenue share and content standards.

7. Community

Posts, messages, groups and showcase entries must follow the acceptable-use rules above. We are not responsible for content posted by other members, but you can report content and we will review it.

8. Phone calls and AI assistant

Calls to our business line, (469) 353-7748, are answered by an AI phone assistant that identifies itself as an AI. Calls may be recorded and transcribed so we can help you. The assistant can answer questions and pass messages to our team, but it cannot change your account, billing or these Terms.

9. Text messaging (SMS) program

Program: Tha Shed Text Messages.

What you receive: there are two separate, optional text programs. (1) Request texts: if you check the text box on our contact form or say yes when our phone assistant asks during a call, we text you about your request, such as links, answers and follow-ups. (2) Offers and updates: if you check the separate marketing box, we may text you occasional offers, new features and membership updates, up to 4 messages a month. Agreeing to one does not sign you up for the other.

Frequency and cost: request texts vary, usually one to three per conversation. Offers and updates are limited to 4 messages a month. Message and data rates may apply.

Opting out: reply STOP to any message to stop receiving texts. We will send one message confirming you have opted out, then no more. Reply HELP for help, or contact [email protected] or (469) 353-7748.

Consent is optional: agreeing to texts is not a condition of any purchase or membership.

Carriers: mobile carriers are not liable for delayed or undelivered messages.

Privacy: see our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

10. Third-party services

Tha Shed relies on third-party services, including AI model providers, payment processors, hosting, and phone and messaging providers. Their terms may apply to your use of features they power. We are not responsible for third-party services, and features that depend on them may change or become unavailable.

11. Changes to Tha Shed

We are always improving Tha Shed, so features, tools and the AI models behind them may be added, changed or removed. If we remove a paid feature that is central to your plan, you can cancel and request a refund under the Refund and Cancellation Policy.

12. Disclaimers

Tha Shed is provided "as is" and "as available". We do not guarantee uninterrupted service, specific creative or educational results, job placement or certification. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent the law allows, Tha Shed and COSProfessionals, LLC are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or content, arising from your use of Tha Shed. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, or US $50 if you have not paid us anything.

14. Indemnity

You agree to defend and indemnify Tha Shed against claims arising from Your Content, your misuse of Tha Shed, or your breach of these Terms.

15. Termination

You can close your account at any time by contacting us. We may suspend or close accounts that break these Terms or put other members or the service at risk. Sections 4 (license for content already shared), 12, 13, 14 and 17 survive termination.

16. Changes to these Terms

We may update these Terms. Changes take effect when posted on this page with a new "Last updated" date. For significant changes, we will also notify members by email or on the site. Continued use after a change means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Texas.

In short: we use your information only to provide and improve our services to you. We never sell your personal information, including your phone number, to anyone.

This Privacy Policy explains how Tha Shed (tha-shed.com), operated by COSProfessionals, LLC ("Tha Shed", "we", "us", or "our"), collects, uses and shares information when you use our website, tools, community and phone line.

1. Information we collect

Information you give us

Account details: name, username, email address, password, profile details and membership plan.
Payment details: billing name and address, and payment information. Payments are processed by our payment processors (such as Stripe and PayPal); we do not store full card numbers.
Your content: prompts, uploads (images, audio, video, documents), and the videos, images, comics, music and other works you create, plus posts, comments, messages and showcase entries.
Contact and support: messages you send through our contact form or by email, including your phone number if you give it.
Phone calls: calls to (469) 353-7748 are answered by our AI phone assistant, which tells you it is an AI. Calls may be recorded and transcribed.
Text-message consent: whether you agreed to receive texts from us, and when.

Information collected automatically

Usage data: pages visited, features used, tool usage and token counts, and similar activity.
Device data: browser type, operating system and general location (country) from your connection.
Cookies: cookies keep you signed in, remember preferences such as light or dark mode, and help us understand how the site is used.

2. How we use information

To provide Tha Shed: run your account and membership, generate your content, host and deliver your files, and run the community.
To process payments, renewals and refunds.
To answer questions and support requests, including by phone and, if you agreed, by text.
To keep Tha Shed safe: prevent fraud and abuse, enforce our Terms, and secure accounts.
To improve our tools and courses, using usage data in aggregate.
To send account and service emails, such as receipts, password resets and important changes. If you opt in to newsletters, you can unsubscribe at any time.

We do not sell your personal information.

3. AI processing

When you use an AI tool, your prompts and any files you provide are sent to the AI provider that powers that tool (for example, model providers for text, image, video, voice and music generation) so it can produce your result. These providers process the data to deliver the service under their own terms, and their data-use policies vary. Please do not include sensitive personal information in prompts or uploads.

4. How we share information

We share information only:

With service providers that help us run Tha Shed, such as hosting, payment processing, email delivery, AI model providers, and phone and messaging providers. They may use it only to provide services to us.
With other members, for content you choose to post publicly or in the community.
For legal reasons, when required by law or to protect the rights, safety and property of our members, the public or Tha Shed.
In a business transfer, if Tha Shed is sold or merged, in which case this policy continues to apply to your information.

5. Text messaging (SMS)

If you give us your mobile number and agree to receive texts, Tha Shed sends text messages related to your request, such as links or answers you asked for and follow-ups. Separately, if you check the marketing box, we may send occasional offers and updates, up to 4 messages a month. Each is a separate, optional choice. Message and data rates may apply. Reply STOP to stop receiving texts at any time, or HELP for help.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors that support our services, such as customer service and message delivery, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

6. Data retention

We keep account information while your account is open and for a reasonable time afterward for legal, tax and dispute purposes. You can delete your creations at any time. Call recordings and transcripts are kept only as long as needed to handle your request. Lead details used for phone and text follow-ups are deleted from our follow-up system within a few days.

7. Your choices and rights

Update your profile and email preferences from your account.
Ask us for a copy of your personal information, or ask us to correct or delete it, by emailing [email protected].
Opt out of texts by replying STOP, and out of marketing emails with the unsubscribe link.
Texas residents and residents of other states with privacy laws may have additional rights, such as appealing a decision we make about a request. We do not sell personal information or use it for targeted advertising.

We will respond to verified requests within the time the law requires.

8. Security

We use reasonable technical and organizational safeguards, including encrypted connections and access controls. No system is perfectly secure, so please use a strong, unique password.

9. Children

Tha Shed is not intended for anyone under 16, and we do not knowingly collect information from children under 13. If you believe a child has given us information, contact us and we will delete it.

10. Changes to this policy

We may update this policy. Changes take effect when posted here with a new "Last updated" date. We will notify members of significant changes by email or on the site.
